Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the website at tsgarchitecture.net (the “Site”) and the password-protected employee portal accessible from the Site (the “Portal”), both operated by The Sellers Group, A Professional Corporation (“TSG”, “we”, “us”, “our”). By using the Site or the Portal you agree to these Terms.

1. About TSG

The Sellers Group is a Louisiana professional corporation providing architecture and interior design services from offices at 147 Easy Street, Lafayette, Louisiana 70506.

2. No Professional Relationship

Visiting the Site, sending a message through the contact form, or otherwise communicating with us through the Site does not create an architect-client relationship and does not engage TSG to perform professional services. We undertake no professional duties to you, and you should not rely on any information on the Site as professional advice for your project. A professional relationship with TSG arises only upon execution of a written agreement signed by an authorized officer of the firm.

3. Permitted Use

You may use the Site for lawful, personal, and prospective-client purposes. You may view and print individual pages for your personal, non-commercial reference. You agree not to:

  • Scrape, crawl, harvest, or otherwise extract data from the Site by automated means;
  • Reverse engineer, decompile, or attempt to derive the source code of the Site or Portal;
  • Interfere with the operation, security, or integrity of the Site or Portal, or attempt to access any system or account you are not authorized to access;
  • Use the Site or Portal to transmit unsolicited commercial messages, malware, or other harmful content;
  • Misrepresent your identity, affiliation, or authorization to act on behalf of another person or entity; or
  • Use the Site or Portal in violation of any applicable law or regulation.

4. Intellectual Property

All content on the Site and Portal — including photographs, renderings, drawings, plans, project descriptions, employee biographies, written materials, logos, trademarks, design elements, and source code — is owned by TSG or our licensors and is protected by United States copyright, trademark, and other intellectual-property laws.

Except as permitted in Section 3 above, you may not copy, reproduce, distribute, publish, modify, create derivative works from, publicly display, sell, or otherwise exploit any content from the Site or Portal without our prior written permission.

If you submit a message or other content to TSG through the Site (for example, through the contact form), you grant TSG a non-exclusive, worldwide, royalty-free license to use that content for the purpose of responding to you and operating our business. You represent that you have the right to grant this license and that your submission does not infringe the rights of any third party.

5. Employee Portal

The Portal is restricted to TSG employees and contractors who have been authorized to access it. Unauthorized access is prohibited and may give rise to civil and criminal liability under federal and state law.

If you have been granted Portal access, you agree that:

  • You will keep your account credentials confidential and will not share them with any other person.
  • You are responsible for all activity that occurs under your account.
  • You will use the Portal only for the legitimate business purposes of TSG.
  • You will not export, copy, share, or otherwise use Portal data — including client lists, project records, invoices, time records, or employee information — outside the scope of your work for TSG.
  • You will notify TSG immediately if you believe your account has been compromised.
  • Your authorization to access the Portal terminates automatically when your employment or engagement with TSG ends, and any further access after that point is unauthorized.

6. Third-Party Links and Services

The Site or Portal may contain links to third-party websites or rely on third-party services (for example, the hosting and authentication providers identified in our Privacy Policy). TSG is not responsible for the content, privacy practices, or availability of any third-party site or service.

7. Disclaimers

THE SITE AND THE PORTAL ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE OR PORTAL WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CONTENT IS COMPLETE OR CURRENT.

Project images and descriptions reflect work designed or completed by TSG at a point in time and may not reflect current conditions, completed construction, or design intent for any other project. They are presented as portfolio examples and do not constitute representations about any specific property or future engagement.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL TSG OR ITS OFFICERS, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR PORTAL, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF TSG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE OR PORTAL WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Nothing in these Terms limits liability that cannot be limited or excluded under applicable law.

9. Indemnification

You agree to indemnify, defend, and hold harmless TSG and its officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site or Portal in violation of these Terms or applicable law.

10. Governing Law and Venue

These Terms are governed by the laws of the State of Louisiana, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms, the Site, or the Portal will be brought exclusively in the state or federal courts located in Lafayette Parish, Louisiana, and you consent to the personal jurisdiction and venue of those courts.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Effective” date at the top of this page. Your continued use of the Site or Portal after a revision becomes effective constitutes your acceptance of the revised Terms.

12. Severability and Entire Agreement

If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and TSG regarding the Site and Portal.
